These Terms of Service ("Terms") govern your use of Promptsy, the AI-powered prompt management platform available at https://promptsy.top (the "Service"). By accessing or using Promptsy, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. DEFINITIONS

- "Service" refers to the Promptsy platform, including the website, applications, and all features
- "User," "you," or "your" refers to any person or entity using the Service
- "We," "us," or "our" refers to Promptsy and its operators
- "Content" includes prompts, bundles, comments, ratings, and any other material posted on the Service
- "Workspace" refers to a collaborative environment where users can organize and share content
- "Marketplace" refers to the platform feature where users can buy and sell prompts and bundles

2. ACCEPTANCE OF TERMS

By creating an account or using the Service, you:
- Confirm you are at least 13 years old
- Agree to these Terms and our Privacy Policy
- Represent that you have the authority to enter into this agreement
- Acknowledge that these Terms constitute a legally binding agreement

3. DESCRIPTION OF SERVICE

Promptsy is an AI-powered prompt management and optimization platform that provides:

3.1 Core Features
- Prompt and bundle creation, organization, and management
- Folder and tag-based organization systems
- Semantic search across your content
- Team workspaces with role-based access control
- AI-powered Goal-to-Bundle Generator
- Live prompt optimization with suggestions and diff views
- Revision history (last 10 versions per prompt)
- Queue Runner for executing multi-step workflows
- Variable chaining with {{prev.output}} and {{stepN.output}} syntax
- Clipboard and API execution modes

3.2 Marketplace Features
- Platform for buying and selling prompts and bundles
- Stripe Connect integration for payments
- Auto-generated README and cover images for listings
- Community features including upvotes, ratings, and comments
- Public gallery of community-created content

3.3 Analytics and Tracking
- RunLog tracking with performance metrics
- Token usage and cost tracking
- Quality scoring and user feedback collection

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation
- You must provide accurate, current, and complete information
- You may register using email or OAuth providers (GitHub)
- Each user may maintain only one account

4.2 Account Security
- You are responsible for maintaining the confidentiality of your password
- You are responsible for all activities under your account
- Notify us immediately of any unauthorized access
- We are not liable for losses caused by unauthorized use of your account

4.3 Account Termination
- You may delete your account at any time from your settings
- We may suspend or terminate accounts that violate these Terms
- Upon termination, your data will be deleted within 30 days (subject to legal retention requirements)

5. WORKSPACES AND TEAM COLLABORATION

5.1 Workspace Roles
- Owner: Full control including deletion and billing
- Admin: Manage members, settings, and content
- Editor: Create, edit, and organize content
- Viewer: View and use content, but not edit

5.2 Workspace Content
- Content belongs to the workspace, not individual members
- Workspace owners control access and permissions
- Removed members lose access to workspace content
- Export your personal content before leaving a workspace

6. USER CONTENT AND INTELLECTUAL PROPERTY

6.1 Your Content
- You retain ownership of prompts, bundles, and other content you create
- By using the Service, you grant us a license to host, display, and distribute your content as necessary to provide the Service
- For public and marketplace content, you grant us a license to display it to other users

6.2 Content Responsibility
- You are solely responsible for your content
- You represent that you have all necessary rights to your content
- You will not post content that infringes on others' intellectual property
- We may remove content that violates these Terms or applicable laws

6.3 Our Intellectual Property
- Promptsy's technology, design, features, and branding are our property
- You may not copy, modify, or reverse engineer the Service
- Our trade names and trademarks may not be used without permission

7. MARKETPLACE TERMS

7.1 Seller Terms
- Sellers must connect a Stripe Connect account
- Revenue split: 70% to seller, 30% to Promptsy
- Payments processed through Stripe Connect
- Sellers are responsible for applicable taxes on their earnings
- Sellers must have the right to sell content they list

7.2 Buyer Terms
- All purchases are processed through Stripe
- Buyers receive a license to use purchased content as specified
- Refund policy: 7 days from purchase for digital products
- Refunds are at our discretion and subject to review

7.3 Licenses
When purchasing marketplace content, buyers receive one of these licenses:
- Personal Use: Use for personal projects, cannot resell or share
- Commercial Use: Use in your business, cannot resell as a standalone product
- Extended: Modify and use in client projects, cannot resell as a standalone product

7.4 Prohibited Marketplace Content
Sellers may not list content that:
- Infringes on intellectual property rights
- Contains malicious code or security vulnerabilities
- Violates applicable laws or regulations
- Discriminates or promotes hatred
- Is misleading or fraudulent

7.5 Marketplace Disputes
- Disputes between buyers and sellers should first be resolved directly
- We may mediate disputes but are not obligated to do so
- We reserve the right to issue refunds or remove listings at our discretion

8. API KEYS AND THIRD-PARTY INTEGRATIONS

8.1 Your API Keys
- You may provide API keys for OpenAI, Anthropic, or other services
- Your API keys are encrypted and stored securely
- We only use your API keys when you explicitly execute prompts
- You are responsible for costs incurred using your API keys
- We are not liable for charges from third-party AI services

8.2 Third-Party Services
- Integration with third-party services is subject to their terms
- We are not responsible for third-party service availability or performance
- Review the privacy policies of services you integrate with

9. ACCEPTABLE USE POLICY

You agree NOT to:

9.1 Prohibited Actions
- Violate any laws or regulations
- Infringe on intellectual property rights
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Scrape, harvest, or collect user data without permission

9.2 Content Restrictions
- No sexually explicit, violent, or hateful content
- No promotion of illegal activities
- No misleading, false, or deceptive content
- No content that violates others' privacy or rights
- No plagiarized or stolen content

9.3 Enforcement
- We may remove content or suspend accounts that violate this policy
- Serious violations may result in permanent termination
- We may report illegal activity to authorities

10. PAYMENT AND SUBSCRIPTIONS

10.1 Pricing
- Subscription pricing is displayed on our website
- Prices may change with 30 days' notice
- Marketplace listing prices are set by sellers

10.2 Billing
- Subscriptions are billed automatically on a recurring basis
- You authorize us to charge your payment method
- Failed payments may result in service suspension
- Update payment information in your account settings

10.3 Refunds
- Subscription refunds are provided at our discretion
- Marketplace purchases: 7-day refund window
- Refund requests must be submitted via email
- Fraudulent refund requests may result in account termination

10.4 Taxes
- Prices may not include applicable taxes
- You are responsible for all taxes related to your use of the Service
- Marketplace sellers are responsible for taxes on their earnings

11. DATA AND PRIVACY

11.1 Data Collection

11.2 Your Data Rights
- Access, export, and delete your data at any time

12. INTELLECTUAL PROPERTY DISPUTES

- Your contact information
- Description of the copyrighted work
- Location of the infringing content on Promptsy
- A statement that you have a good faith belief the use is unauthorized
- A statement that the information is accurate and you are authorized to act
- Your physical or electronic signature

12.2 Counter-Notification
If your content was removed due to a DMCA claim and you believe it was removed in error, you may submit a counter-notification.

13. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- That the Service will be uninterrupted, secure, or error-free
- That any defects will be corrected
- That the Service is free of viruses or harmful components

Your use of the Service is at your own risk.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTSY SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from unauthorized access to your account
- Damages resulting from use of third-party services or APIs
- Any damages exceeding the amount you paid to Promptsy in the past 12 months

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Promptsy, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your content or marketplace listings
- Your violation of any rights of another person or entity

16. TERMINATION

16.1 By You
- You may terminate your account at any time from your settings
- Canceling a subscription does not entitle you to a refund

16.2 By Us
We may suspend or terminate your access if:
- You violate these Terms or our policies
- Your account shows suspicious or fraudulent activity
- Required by law or legal process
- We discontinue the Service

16.3 Effect of Termination
- Your right to use the Service ends immediately
- We may delete your data within 30 days
- Marketplace transactions and legal obligations survive termination
- No refunds for partial subscription periods

17. MODIFICATIONS TO THE SERVICE

- Change pricing with 30 days' notice
- Impose usage limits or restrictions

You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.

19.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our control (natural disasters, war, pandemics, etc.).

19.6 No Agency
These Terms do not create a partnership, joint venture, or agency relationship.
